1 The computer program and the associated user documentation to which this USER LICENCE relates (hereinafter referred to as the "LICENSED SOFTWARE") are supplied subject to the terms of this USER LICENCE from QinetiQ Limited, registered in England and Wales as company number 3796233 and having its registered office at 85 Buckingham Gate, London, SW1E 6PD, England (hereinafter referred to as "QinetiQ"). If you, and where relevant, your organisation (hereinafter referred to individually and collectively as "you") do not wish to accept these terms you must not download the LICENSED SOFTWARE from the Internet. If you do download the LICENSED SOFTWARE by clicking on the icon at the end of this USER LICENCE, you are deemed to have accepted these terms.

2 All intellectual property rights associated with the LICENSED SOFTWARE and all copies thereof belong to QinetiQ. It must be used only by you and must be used only in accordance with the terms of this USER LICENCE.

3 In consideration of payment by you to QinetiQ of the applicable licence fee, QinetiQ hereby grants to you a non-exclusive, non-transferable licence to load, install, use, display and operate the LICENSED SOFTWARE on a single computer under your control.

4 The rights granted to you under this USER LICENCE shall be personal to you, and you shall not without QinetiQ's prior written consent:-

4.1 copy the LICENSED SOFTWARE other than for the purposes of making backup copies of the LICENSED SOFTWARE only to the extent permitted by law. You must ensure that any such backup copies include QinetiQ's copyright notice which appears on or in the LICENSED SOFTWARE;
4.2 decompile, reverse engineer, translate, modify or make any derivative work of the LICENSED SOFTWARE except where and only to the extent expressly permitted by law, in which event you shall inform QinetiQ of the extent to which you have exercised such statutory rights;
4.3 use the LICENSED SOFTWARE on any computer other than the computer onto which the LICENSED SOFTWARE was originally downloaded; or
4.4 undertake distribution or leasing of the LICENSED SOFTWARE or incorporate it in any product in whole or in part or cause or permit others to do so.

5 You agree to ensure that anyone who uses the LICENSED SOFTWARE is notified of the terms of this USER LICENCE prior to such person using it.

6 This USER LICENCE shall terminate forthwith in the event of a breach of any of its terms. Upon termination of this USER LICENCE, you shall immediately destroy any copies of the LICENSED SOFTWARE and erase all copies of the LICENSED SOFTWARE under your control and stored on any medium. In the event that, acting reasonably, you are unable to destroy or erase such copies because you hold archive copies thereof which are for all practical purposes irretrievable, you shall thereafter be responsible for ensuring that:

6.1 there is no recovery of any part of the LICENSED SOFTWARE from any such archive copy;
6.2 no such archive copy is made available to any third party in a form suitable for enabling recovery of any part of the LICENSED SOFTWARE; and
6.3 each such archive copy continues to be stored and protected in a manner appropriate to safeguard commercially confidential information.

7 The LICENSED SOFTWARE is supplied without warranty of performance. In particular, QinetiQ does not warrant, guarantee or make any representations regarding the use or the results of use of the LICENSED SOFTWARE or its effect on computer equipment in terms of currentness, accuracy, reliability, correctness, satisfactory quality, fitness for purpose or otherwise. All other warranties, terms, conditions or obligations whether express or implied are excluded to the fullest extent possible by law.

8 It is your responsibility to obtain all necessary authorisations from the relevant copyright holders before creating and otherwise using any map through use of the LICENSED SOFTWARE and to ensure that your use of the LICENSED SOFTWARE is in accordance with all applicable laws.

9 Except in respect of fraud or for injury or death of any person due to its negligence, QinetiQ shall not be liable for any loss, damage or injury of any kind, whether consequential, direct or indirect (including injury resulting in death) arising in connection with the use or the results of use of the LICENSED SOFTWARE or its effect on computer equipment.

10 No term of this USER LICENCE is enforceable under the Contracts (Rights of Third Parties) Act 1999 by a person who is not a party to this USER LICENCE.

11 This USER LICENCE, which contains the entire agreement between QinetiQ and you relating to the LICENSED SOFTWARE, shall be governed by, and construed in accordance with, English law.
